By accessing or using the services provided by Movella Systems, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

We reserve the right to modify these terms at any time. Your continued use of the services following the posting of changes constitutes your acceptance of such changes.

Platform Services

Movella Systems provides AI and blockchain-based technology solutions including but not limited to: intelligent transportation systems, AI security solutions, blockchain infrastructure, marketing automation, and related consulting services.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the services.

Account Creation

To access certain features of our services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to terminate or suspend your account and access to our services at our sole discretion, without prior notice or liability, for any reason, including breach of these Terms.

Ownership

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of Movella Systems and are protected by international copyright, trademark, and other intellectual property laws.

License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your personal or internal business purposes.

Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services without our prior written consent.

Fees

Certain services may be subject to fees. You agree to pay all applicable fees as described on our website or in your service agreement. All fees are non-refundable unless otherwise specified.

Billing

Taxes

You are responsible for paying all taxes associated with your use of our services. If we are required to collect or pay taxes, the taxes will be charged to you.

Exceptions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available; (b) was known to the receiving party prior to disclosure; (c) is independently developed; or (d) is required to be disclosed by law.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the services will meet your requirements; (b) the services will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the services will be accurate or reliable.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MOVELLA SYSTEMS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or relating to these Terms or your use of the services shall not exceed the amount you paid us in the twelve (12) months prior to the claim.

You agree to defend, indemnify, and hold harmless Movella Systems and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the services.

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Harare, Zimbabwe for the resolution of any disputes.

Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us. We will try to resolve the dispute informally by contacting you via email.

Arbitration

If we cannot resolve a dispute informally, any dispute arising from these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
